I have an IIS6 server which was just created. I tested it prior to adding any web sites.
I can get to a web site in the main level (ie
www.domain.com) and it has host headers assigned so I know that is working. (default web site has to be enabled).
when using a subdomain (cname) which i also have setup at the domain registrar, with host headers it will not see anything. it defaults to going to the default web site. if i disable the default web site then i get a page not found.
so i am at a loss. if anyone can explain what i may have done wrong and or even have a look would be greatfully appreciative.

Where you have put your subdomain host headers? If you put it in the default website properties, this will mean that subdomain.domain.com will point to domain.com...
You should create a new website pointing to the new location and to put your subdomain host headers.

This looks like a DNS issue and the first thing you have to do is to make sure the DNS is all ok.
nslookup for the domain make sure it is going to the correct place. Or use a third party like

ok it appears to be going to the main domain and not the subdomain when i do an nslookup. so could that be in the hosts file to correct this or?

Hosts file would only be relevant if you didn't have DNS. Sounds like a DNS issue ...
